Unhindered

The Trellis — Terms of Service

Last Modified: September 28, 2026

Acceptance of These Terms

These Terms of Service (these "Terms") are entered into by and between you and Unhindered LLC ("Company," "Unhindered," "we," or "us"). These Terms, together with any documents they expressly incorporate by reference (collectively, these "Terms"), govern your access to and use of The Trellis, an online platform for spiritual formation and accountability made available through our web portal at unhinderedlives.com and our mobile application (together with all related content, tools, features, and services, the "Platform" or the "Services"), whether you access it as an individual user, an accountability partner, a congregation administrator, or otherwise.

Please read these Terms carefully before you start to use the Services. By downloading, accessing, or using the Services, or by clicking to accept or agree to these Terms when this option is made available to you, you accept and agree to be bound and abide by these Terms and our Privacy Policy, found at unhinderedlives.com/privacy and incorporated herein by reference. If you do not want to agree to these Terms or the Privacy Policy, you must not access or use the Services.

If you are entering into these Terms on behalf of a church, congregation, ministry, company, or other organization (each, an "Organization"), you represent and warrant that you have the authority to bind that Organization to these Terms, in which case "you" and "your" refer to that Organization.

Eligibility

The Services are offered and available to users who are 18 years of age or older and who reside in the United States or any of its territories or possessions. By using the Services, you represent and warrant that you are of legal age to form a binding contract with the Company and that you meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Services.

Definitions

For purposes of these Terms:

  • "Runner" means a primary user of the Services who uses the Platform to keep a Rule of Life and track spiritual habits, rhythms, and related activity, including through daily check-ins and prayer lists.
  • "Witness" means an accountability partner who is invited by a Runner to support and encourage that Runner through the Services.
  • "The Cloud" or "Church Admin" means an Organization, or an individual authorized by an Organization, that uses the Services to oversee a congregation, roster, or group of Runners on a business-to-business basis.
  • "Church Block" means an enterprise or congregation license, purchased by a purchaser (which may be an Organization or an individual), that grants a specified number of individual redemptions for use of the Services.
  • "Unclaimed Asset" means a floating, unassigned gift entitlement generated by a purchase that has not yet been redeemed by an end user and is not yet associated with any particular account.
  • "Redemption Code" means the code or link that represents an Unclaimed Asset and that an end user applies to claim access to the Services.
  • "Content" means all information, text, data, software, images, and other materials available on or through the Services.

Changes to These Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Services thereafter. However, any changes to the dispute resolution provisions set out in these Terms will not apply to any disputes for which the parties have actual notice on or before the date the change is posted.

Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes. You are expected to check these Terms from time to time so you are aware of any changes, as they are binding on you.

Accounts and Account Security

To access the Services or certain of their features, you must register for an account and provide certain registration details. It is a condition of your use of the Services that all the information you provide is correct, current, and complete. You agree that all information you provide is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

You must treat your username, password, and any other credentials as confidential, and you must not disclose them to any other person or entity. Your account is personal to you, and you agree not to provide any other person with access to the Services using your credentials. You agree to notify us immediately of any unauthorized access to or use of your account. We have the right to disable any account or credential at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms.

License Grant

Subject to your compliance with these Terms and, where applicable, payment of all applicable fees, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial spiritual formation and accountability purposes (or, in the case of The Cloud, for the internal purpose of administering your congregation or roster). All rights not expressly granted are reserved by the Company. This license does not grant you any ownership interest in the Services or any Content.

Licenses, Purchases, and Church Blocks

The Services may be purchased as an individual license or as a Church Block, in each case through a Stripe Payment Link or other payment method we make available.

  • Individual license. An individual license entitles a single end user to access and use the Services in accordance with these Terms for the applicable term.
  • Church Block. A Church Block is an enterprise license, typically purchased by or for a congregation, that grants a specified number of redemptions. The purchase of a Church Block grants the number of individual redemptions stated at the time of purchase and does not grant any greater number of redemptions or any right to exceed that number.
  • Decoupling of purchaser and end user. You acknowledge and agree that the purchaser of a license or Church Block is decoupled from, and need not be, the end user who ultimately redeems and uses the Services. A purchase generates one or more Unclaimed Assets that are not associated with any end-user account until redeemed.

No Automatic Renewal. An individual license or Church Block redemption is a one-time purchase for the stated term and does not automatically renew. You will not be charged again unless you make a new purchase. If we later offer any auto-renewing subscription, we will provide the disclosures, cancellation method, and renewal reminders required by applicable law before enrolling you.

Unclaimed Assets and Redemption Codes

Each purchase generates one or more floating Unclaimed Assets, represented by Redemption Codes, that may be distributed by the purchaser to intended end users and redeemed to claim access to the Services.

  • A Redemption Code entitles the holder who first validly redeems it to the corresponding access to the Services. Access is granted upon valid redemption, not upon purchase.
  • You are solely responsible for the safekeeping and distribution of Redemption Codes. Redemption Codes function like bearer instruments: anyone who obtains a valid, unredeemed Redemption Code may be able to redeem it.
  • The Company is not responsible or liable for any Redemption Code or Unclaimed Asset that is lost, stolen, misplaced, forwarded, shared, or improperly or mistakenly distributed, or for any redemption of a Redemption Code by a person other than the intended recipient. Once a Redemption Code has been redeemed, it cannot be reissued, reversed, or transferred except in our sole discretion.
  • Redemption Codes and Unclaimed Assets have no cash value except where required by law, and may not be resold or used for any unlawful or unauthorized purpose. We are not required to redeem a Redemption Code for cash.

Consistent with Kansas law governing gift certificates and gift cards:

  • A Redemption Code sold to a purchaser will not expire earlier than five (5) years from the date of purchase. A Redemption Code sold without an expiration date remains valid until redeemed or replaced.
  • No fees will be charged against the balance of a Redemption Code within twelve (12) months from the date it is issued.
  • All conditions and limitations applicable to a Redemption Code, including any expiration date, will be disclosed to the purchaser at the time of purchase.
  • The five-year limitation above does not apply to Redemption Codes that are distributed without any payment (for example, promotional codes) or that are sold below face value at a volume discount to employers or to nonprofit or charitable organizations for fund-raising purposes, provided in each case that the expiration date is stated on or with the Redemption Code.

Notwithstanding the foregoing, where the law of the state in which a Redemption Code is purchased or issued imposes consumer protections stricter than Kansas law — including, without limitation, a prohibition on any expiration date, a requirement that the Redemption Code (or a low remaining balance) be redeemable in cash, or a restriction on fees — we will comply with the law of that state with respect to that Redemption Code, and the terms of that state's law will control over any conflicting provision above.

User Roles and Responsibilities

The Services support distinct roles, each with different functions and responsibilities:

  • Runners. A Runner uses the Services to keep a Rule of Life and track spiritual habits and rhythms. A Runner's Rule of Life, check-ins, and prayers are treated as private to the Runner and the people the Runner chooses to share them with, and are protected using Row Level Security (RLS) at the database layer, as further described in our Privacy Policy. A Runner may invite one or more Witnesses and may choose to join a congregation roster administered by The Cloud.
  • Witnesses. A Witness is invited by a Runner to serve as an accountability partner. A Witness agrees to use any information made available through the Services only to support the inviting Runner and not for any other purpose.
  • The Cloud (Church Admins). The Cloud uses the Services on a business-to-business basis to administer a congregation or roster. The Cloud's access to information about Runners and Witnesses is limited to the information those individuals have expressly consented to share, as described in our Privacy Policy. The Cloud agrees to use such information solely for legitimate congregational care and administration, to comply with all applicable laws, and to maintain the confidentiality and security of any personal data it accesses.

The Cloud shall not: (a) further disclose, sell, rent, or otherwise make available any personal data received through the Services to any third party, except as strictly necessary for the congregational care purposes described above and subject to confidentiality obligations at least as protective as those in these Terms; (b) use such personal data for any commercial, marketing, or fundraising purpose without the applicable Runner's or Witness's separate written consent; or (c) attempt to re-identify any aggregated or de-identified information.

If a Runner or Witness withdraws consent or requests deletion of their personal data, The Cloud agrees to promptly delete or cease using any corresponding personal data in its possession upon our notice. As between the Company and The Cloud, The Cloud acts as an independent controller of the personal data it receives through the Services and is independently responsible for its own compliance with applicable law with respect to that data, and agrees to indemnify the Company for any claim arising from The Cloud's misuse of such data, as provided in the Indemnification section below.

Each user is responsible for its own conduct on the Services and for ensuring that its use complies with these Terms and all applicable laws.

Fees, Payment, and Stripe

Fees for the Services are stated at the point of purchase. All payments are processed by our third-party payment processor, Stripe, Inc. ("Stripe"), including through Stripe Payment Links. By making a purchase, you authorize us and Stripe to charge your selected payment method for all applicable fees and taxes. Your payment card and billing information are collected and processed directly by Stripe in accordance with Stripe's terms and privacy policy; the Company does not store full payment card numbers. Except as expressly stated in these Terms or as required by applicable law, all fees are non-refundable, and all purchases, including Church Blocks and the redemptions they grant, are final.

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and share personal data, including how a Runner's Rule of Life, check-ins, and prayers are kept private and shared only as the Runner chooses, and the tiered consent framework that governs what information Runners and Witnesses share with The Cloud. By using the Services, you consent to all actions we take with respect to your information in compliance with the Privacy Policy.

Intellectual Property Rights

The Services and their entire contents, features, and functionality (including all information, software, text, displays, images, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Services only as expressly authorized. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services, except as incidental to your permitted use, and you must not access or use for any commercial purpose any part of the Services except as expressly permitted for The Cloud. No right, title, or interest in or to the Services is transferred to you, and all rights not expressly granted are reserved by the Company.

The name "The Trellis," "Unhindered," the Company's logos, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without our prior written permission.

Copyright Complaints (DMCA)

We respect the intellectual property rights of others and expect users of the Services to do the same. If you believe that any Content on the Services infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") to our designated Copyright Agent, including:

  • A physical or electronic signature of a person authorized to act on behalf of the copyright owner;
  • A description of the copyrighted work claimed to have been infringed;
  • A description of the material claimed to be infringing and information reasonably sufficient to permit us to locate it on the Services;
  • Your name, address, telephone number, and email address;
  • A statement that you have a good-faith belief that the use complained of is not authorized by the copyright owner, its agent, or the law; and
  • A statement, made under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner.

Our designated Copyright Agent can be reached at: Copyright Agent, Unhindered LLC, 11002 W. 124th Terr., Overland Park, KS 66213, copyright@unhinderedlives.com. We reserve the right to remove or disable access to any Content claimed to be infringing and to terminate the accounts of repeat infringers. If you believe your Content was removed in error, you may submit a counter-notification in accordance with the DMCA.

Your Content

The Services allow Runners and other users to create, store, and share content, including your Rule of Life, check-ins, prayers, and other materials (collectively, "User Content"). As between you and the Company, you retain ownership of your User Content.

  • Private content stays private. A Runner's Rule of Life, check-ins, and prayers are shared only with the people the Runner chooses (such as a Witness the Runner invites or, in summary form, a church the Runner joins), as described in our Privacy Policy. Beyond that, we do not use, disclose, or grant access to them except as necessary to operate, maintain, secure, and provide the Services to you, or as required by law. We do not claim any license to use your private User Content for any purpose beyond providing the Services to you.
  • Limited operational license. You grant the Company a limited, worldwide, royalty-free license to host, store, back up, transmit, and process your User Content solely as necessary to provide, maintain, and secure the Services and to enforce these Terms.
  • Shared content. If you elect to share content with a Witness, The Cloud, or others through the Services, you authorize the Company to make that content available to those recipients in accordance with your sharing settings and the consents you provide.

You represent and warrant that you own or control all rights in and to your User Content and that your User Content does not violate these Terms. You are responsible for your User Content, and the Company is not responsible or liable to any third party for its content or accuracy.

Prohibited Uses

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any way that violates any applicable federal, state, local, or international law or regulation.
  • Use the Services to exploit, harm, or attempt to exploit or harm any person, including by exposing them to inappropriate content or by improperly obtaining personal information.
  • Impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
  • Access, tamper with, or use non-public areas of the Services, other users' accounts, or the Company's systems, including the data of other Runners or Witnesses, except as expressly authorized.
  • Use any robot, spider, scraper, or other automatic device or process to access, monitor, or copy the Services or their Content without our prior written consent.
  • Introduce any viruses, Trojan horses, worms, or other material that is malicious or technologically harmful, or otherwise attempt to interfere with the proper working of the Services, including through any denial-of-service attack.
  • Resell, sublicense, or otherwise commercially exploit the Services or any Redemption Code except as expressly permitted under these Terms.

No Professional Advice; No Counseling Relationship

The Services are software tools intended to support personal spiritual formation and accountability. The Company does not provide, and the Services do not constitute, pastoral, psychological, psychiatric, medical, mental-health, or other professional counseling, advice, diagnosis, or treatment. No Runner, Witness, The Cloud, or other user is an agent, employee, or professional counselor of the Company, and nothing on the Services creates a counselor-client, therapist-patient, physician-patient, or clergy-penitent relationship with the Company. The Services are not a substitute for professional advice or care. If you are experiencing a crisis or a medical or mental-health emergency, you should contact a qualified professional or emergency services immediately, including by calling or texting 988 (the Suicide & Crisis Lifeline) in the United States. You are solely responsible for any decision or action you take based on your use of the Services.

Third-Party Services

The Services rely on and integrate with third-party services, including Stripe for payments, Supabase for data hosting and storage, PostHog for product analytics, and the applicable mobile application stores. Your use of those third-party services may be subject to their own terms and policies. The Company is not responsible for the acts, omissions, availability, or content of third-party services, and your dealings with them are solely between you and the applicable third party.

Force Majeure

The Company will not be liable for any failure or delay in performance of the Services to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disaster, war, terrorism, riot, labor dispute, government action, internet or telecommunications failure, or failure or unavailability of a third-party service the Services rely on (including Stripe, Supabase, PostHog, or an app store).

Termination

We may suspend or terminate your access to all or part of the Services at any time, for any or no reason, including for any violation of these Terms, in our sole discretion and without notice or liability. Upon termination, your right to use the Services will immediately cease. The provisions of these Terms that by their nature should survive termination will survive, including provisions regarding intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

Disclaimer of Warranties

YOUR USE OF THE SERVICES, THEIR CONTENT, AND ANY ITEMS OBTAINED THROUGH THE SERVICES IS AT YOUR OWN RISK. THE SERVICES, THEIR CONTENT, AND ANY ITEMS OBTAINED THROUGH THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THE COMPANY NOR ANY PERSON ASSOCIATED WITH THE COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES. WITHOUT LIMITING THE FOREGOING, NEITHER THE COMPANY NOR ANYONE ASSOCIATED WITH THE COMPANY REPRESENTS OR WARRANTS THAT THE SERVICES, THEIR CONTENT, OR ANY ITEMS OBTAINED THROUGH THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

TO THE FULLEST EXTENT PROVIDED BY LAW, THE COMPANY HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Limitation on Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, ANY CONTENT ON THE SERVICES, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, AND LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

TO THE FULLEST EXTENT PROVIDED BY LAW, THE COLLECTIVE LIABILITY OF THE COMPANY AND ITS SUBSIDIARIES AND AFFILIATES, AND THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS, TO ANY PARTY (REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE) FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU HAVE PAID TO THE COMPANY FOR THE APPLICABLE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to (a) your violation of these Terms; (b) your use of the Services, including your User Content and any use of Content, services, and products other than as expressly authorized in these Terms; (c) your distribution, handling, or misuse of any Redemption Code or Unclaimed Asset; or (d), in the case of The Cloud, your collection, access, use, or disclosure of any personal data of Runners or Witnesses.

Governing Law and Jurisdiction

All matters relating to the Services and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Kansas without giving effect to any choice or conflict of law provision or rule.

Subject to the Arbitration section below, any legal suit, action, or proceeding arising out of or related to these Terms or the Services (including any action to compel or enforce arbitration or to seek injunctive or equitable relief) shall be instituted exclusively in the federal or state courts located in the State of Kansas, County of Johnson, and you waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Arbitration

Please read this section carefully. It requires you and the Company to resolve most disputes through binding arbitration and affects how claims between you and us are resolved.

Except as provided below, you and the Company agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services, including any question concerning their existence, interpretation, breach, validity, non-performance, or termination, shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules (or, for disputes involving a consumer, its Consumer Arbitration Rules), applying the law of the State of Kansas. The arbitration shall be seated in the State of Kansas, and judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

You and the Company agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of class or representative proceeding.

Nothing in this section prevents either party from (a) seeking temporary or preliminary injunctive or other equitable relief in a court located in the State of Kansas to prevent or restrain infringement or misuse of intellectual property or confidential or proprietary information, or (b) bringing an individual claim in small-claims court if the claim qualifies.

Informal Resolution First. Before filing an arbitration demand, you and the Company agree to first send a written Notice of Dispute describing the nature of the claim and the relief sought (to legal@unhinderedlives.com for the Company, or to the email or mailing address on your account for you) and to negotiate in good faith for at least thirty (30) days. Neither party may commence arbitration until this informal-resolution period has concluded without resolution.

Batch/Mass Arbitration Procedure. If twenty-five (25) or more similar arbitration demands are filed by or on behalf of claimants represented by the same or coordinated counsel or entity within a ninety (90) day period (a "Mass Filing"), then: (a) the parties agree to select, or have the arbitration provider select, a subset of the claims (not more than ten (10)) as "bellwether" cases to be arbitrated first; (b) all other claims in the Mass Filing shall be stayed pending resolution of the bellwether cases; and (c) the parties will use the outcome of the bellwether arbitrations to inform good-faith resolution of the remaining claims before those claims proceed individually. The arbitration provider's own rules on mass or batch arbitration in effect at the time of filing, if any, will govern to the extent they conflict with this paragraph.

Severability of Class Waiver. If a court or arbitrator determines that the class-action and representative-proceeding waiver in this section is unenforceable as to a particular claim or request for relief, then that claim or request — and only that claim or request — must be brought in court, and all other claims remain subject to arbitration on an individual basis as set out in this section.

State-Law Savings Clause. Nothing in this Arbitration section is intended to, or shall, displace any consumer-protection or other right that cannot be waived or limited under the mandatory law of your state of residence. To the extent any provision of this section is found unenforceable under such law, that provision shall be enforced to the maximum extent permitted, and the remainder of this section shall remain in full force and effect.

Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Waiver and Severability

No waiver by the Company of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.

Assignment

You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets. These Terms will bind and inure to the benefit of the parties and their respective permitted successors and assigns.

Entire Agreement

These Terms and our Privacy Policy constitute the sole and entire agreement between you and Unhindered LLC regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
